The main purpose of this job is to ensure the integrity of the governance framework of DaVita’s international operations (DaVita International), being responsible for the efficient administration of the entities of DaVita outside of the USA and ensuring compliance with statutory and regulatory requirements.

The position interacts across multiple departments and geographies and is based in London, the United Kingdom.

The following duties and responsibilities generally reflect the expectations of this position but are not intended to be all inclusive.
  • Maintain corporate records and assume secretarial and administrative responsibility for the legal entities of DaVita International in multiple jurisdictions
  • Liaising with and advising DaVita’s country counsels on DaVita’s corporate governance framework
  • Coordinate with DaVita’s country counsels and external counsels on company registry filings and other required filings in each jurisdiction
  • Prepare board and shareholders resolutions and minutes and arrange for their signing
  • Liaise with US corporate governance team on governance matters relating to DaVita as a whole
  • Arrange execution, notarization and legalization of documents
  • Create and maintain signature authorities list
  • Implement and manage a corporate and contract database for DaVita International
  • Organize, attend and take minutes of meetings of the executive management team of DaVita International

Education and experience required to fulfill the essential duties.
  • ICSA qualified or legally qualified with requisite experience.
  • At least 8 years’ experience working as corporate or company secretary in a corporate secretary services firm or company with an international profile.
  • Proficiency in relevant IT skills, e.g. advanced word processing, Excel and PowerPoint skills
  • Effectiveness and fluency in English (native or near native speaker level)
  • Advanced knowledge of Chinese, Portuguese, German and/or or Arabic (spoken and reading) is an advantage
