Job Description
Role, Responsibilities and Accountabilities.
DaVita is a US based global corporation that maintains a number of operating legal entities/ subsidiaries across the world. In the International Region (i.e. outside the United States) DaVita has 90+ subsidiaries. This number increases as DaVita acquires new businesses and companies around the world.

The International Legal Department are responsible for “entity management”. This includes ensuring that each entity’s corporate details, including annual or statutory filings are kept up to date; that directors appointments and changes are properly filed, that board minutes and records are properly maintained so that each DaVita legal entity meets its Legal, statutory and regulatory obligations.

DaVita is committed to running its entities within a sound governance framework and to ensure compliance with statutory and regulatory requirements. The post holder will coordinate the administration of filings, minutes and other operational matters of all international entities and will work and interact with other members of the International Legal Department on a daily basis.

This is an exciting opportunity for a proactive, energetic and talented individual with previous experience of either working on company law matters in a law firm; or working on corporate matters within a multi-national corporation to join a truly global and fast-paced international legal team.

Our ideal candidate will either have a Legal, corporate secretarial or senior para-legal background and will have prior experience of legal entity management, company administration and company secretarial filings either within the corporate department of a law firm or in house within an international company.

The candidate should have prior experience in working closely with supervising lawyers and should have excellent oral and written communication skills, presentational skills and attention to detail. The candidate should have excellent IT skills and should be proficient in preparing legal documents, presentations and should have prior experience in legal data base management. We are looking for an organised, diligent individual who is a true team player and who is comfortable with multi-tasking and working in a fast-paced environment.

The following duties and responsibilities generally reflect the expectations of this position, however, these are not exhaustive.


  •  Company Secretarial
  • - Maintain corporate records and corporate information for the legal entities of DaVita International in multiple jurisdictions within DaVita’s Legal data base
  • - Maintain a calendar of key filings and key dates for each entity
  • - Liaise, where applicable with external counsel or external third parties to manage on time company registry filings required in each jurisdiction.
  • - Prepare simple board and shareholders resolutions, under Lawyer supervision and arrange for their signing.
  • - Liaise with the US corporate governance team on governance matters relating to international legal entities.
  • - Arrange notarisation and legalisation of documents.
  • - Create and maintain signature authorities list/ incumbency certificates
  • Contract Drafting
  • - Assist in drafting simple agreements and standard agreements e.g. renewals, amendments, terminations, NDAs, intercompany agreements, under Senior Lawyer supervision
  • - Assist in preparing and maintaining contract templates.
  • Assist with all legal department practice management initiatives aimed at achieving increased operational efficiency/ improving service excellence across the international region.
  • Create and maintain a centralised list of all international ancillary legal services providers, such as notary, translation services, filing agents etc.
  • Establish and maintain an international precedent bank for approved/agreed standard form co sec documentation. Where appropriate, assist lawyer’s creation of toolkits and standardised templates. Design document bank architecture with lawyers.
  • Assist with the maintenance of a centralised know-how bank for International Lawyers.
  • Assist with all Legal Department practice management initiatives, including continuous improvement of contracting and transaction management processes. Participate in departmental efficiency initiatives e.g. .the adoption of contract automation/contract lifecycle management technologies.
  • Assist with team budget preparation, budget management, setting team goals, and planning for future support needs.
  • Use and maintain Legal data base software.
  • Demonstrate excellent communication, interpersonal organisational and presentation skills, strong research and report generating skills.
  • Prepare documents, correspondence, forms and checklists under supervision of the lawyers. This includes providing marked up red line, clean and comparison documents. Maintaining version control and drafts. Proof reading. Preparing mail and enclosures for dispatch.
  • Legal file management: including the opening, closing, archiving and retrieval of legal files in accordance with the appropriate procedures.
  • Assisting lawyers with collating transactional documents including assisting with obtaining signatures from various signatories internationally.

Qualifications and Education Requirements

Education / Certifications – Professional Practice –Prior Experience
Education, licenses, certifications, and experience required to fulfil the essential duties, include computer skills as required.

  • At least 3 years’ experience working in an international law firm, co sec services firm or in-house legal department with an international profile.
  • Prior experience as corporate/ company secretary, junior corporate lawyer, or senior para-legal required.
  • Bachelors in Law is required, Masters preferred.
  • Certification in legal studies, and/ or knowledge in company law, contract law and basic legal principles gained from practical experience within an international environment.
  • Proficiency in relevant IT skills, e.g. advanced word processing, Excel and PowerPoint skills.
  • Personal Attributes
  • Demonstrated exactness in attention to detail with the ability to multi-task; strong follow-up skills.
  • Project management skills – including the use of matter tracking. Gant Charts etc.
  • Experience with on line filings.
  • Personal integrity, judgment and the ability to make decisions quickly.
  • A bright individual who is a "quick study" and grasps issues quickly.
  • Good stamina, resilience and humour; able to work well under pressure in a fast moving, dynamic company.
  • Superior written, verbal, and interpersonal communication skills with an acute ability to listen attentively and to communicate effectively throughout all levels of the organisation.

  • Solid drafting skills. Ability to draft board minutes and resolutions.
